Clarification on the Property Fund of the Company

          Subject : Clarification on the Property Fund of the Company
          To      : The President
                    The Stock Exchange of Thailand
         

          Referring to the news from the newspaper "Manager" on
          February 10, 2006 which stated that an individual has
          brought forth disclosure claims against CPN Retail
          Growth Property Fund (CPNRF) with the Securities and
          Exchange Commission (SEC) and the Stock Exchange of
          Thailand (SET) and also for the slow handling process
          by SEC senior officials purportedly because Central
          Group executives are planning to set up a new property
          fund with a fund size of more than 50,000,000,000 Baht
          (fifty billion baht).
          The Company would like to state that this news is not
          entirely accurate and would like to clarify its actions.
          The fact is the Company is currently undergoing feasibility
          study to transfer some of its office buildings into a
          property fund. The fund size and assets value have not
          been yet finalized and the Company has not yet submitted
          any document to set up a property fund to the SEC. As for
          the complaint about the disclosure of CPNRF, the company
          has been informed by TMB Asset Management Co., Ltd., fund
          manager, that all questions have already been clarified to
          the SEC.  Moreover, the Company has never requested any
          individual to conceal such information on the Company's
          behalf.
